Higgs healthcare team proves right tonic for MY Care

Leading regional law firm Higgs & Sons’ specialist healthcare team has advised one of the region’s leading care home providers on the purchase of three new care homes together with a £9 million refinancing of its business.

The MY Care Group, spearheaded by Paul Hearn, acquired the homes for an undisclosed sum, expanding its portfolio to seven homes across Derbyshire and Nottinghamshire. MY Care is an established provider of high quality care services, with each of its homes holding a two star "good" rating with the Care Quality Commission.

Geoff Kettle, an associate in Higgs’ corporate department, led the deal team, which advised MY Care on its purchase of Ruddington Homes Limited which owned the care homes based in Nottinghamshire. The Higgs team included specialist corporate tax, property, employment and banking lawyers.

Geoff said: "It was great to work with Paul on this acquisition. He has a great business and a commitment to providing excellent services for his residents and we are delighted to help them with their growth.”

Higgs helps Phoenix rise

Leading regional law firm Higgs & Sons has advised a new start up business in Willenhall.

Phoenix Cutting Services, which is a service provider to the UK packaging industry, was advised by Richard Griffiths, a solicitor in Higgs’ corporate department.

Speaking of his work with Phoenix, Richard said: “It’s essential for new businesses to seek proper legal advice from the outset. Early consideration of potential issues and having well drafted agreements in place will provide security and will almost certainly save time and expense later.”

Happy World IP Day!

Did you know that today is World Intellectual Property Day?

Unbelievably, April 26 every year is the World Intellectual Property Organisation’s (WIPO) World IP Day. WIPO? Well that will be a specialist agency of the United Nations of course.

Commercial legal specialist Amy Shakespeare says that the issue of IP has been considered so worthwhile it has been awarded its own day and if it leads to businesses in the region considering their own intellectual property we should put out the bunting and hand round the sandwiches.

Amy, a lawyer at Higgs & Sons, said: “Without the concept of IP, Coca-Cola would be unlikely to have one of the world’s most valuable global brands, Mr Dyson may not have been able to prevent his competitors from copying his bag-less vacuum, and authors and musicians such as J K Rowling and Madonna may have found themselves a lot worse off had their works been copied and reproduced freely throughout the world.”

Back in the real world, how can IP help protect you and your business? Initially, taking your IP seriously will show your competitors that you consider IP (and any infringement of it) to be an important issue that you are prepared to protect. IP protection can therefore be used as a deterrent against would-be infringers.

If this didn’t put all potential infringers off, by assessing, organising and protecting your IP in the appropriate ways, you should be able to act swiftly and successfully in preventing infringement and damage to your brand. On review, you may even discover that you have an IP asset that can be sold or licensed to third parties to generate income.

Time for a sharp exit for business owners?


A leading corporate lawyer says that now may be the time for entrepreneurs in the region to consider their exit strategy following Alistair Darling’s budget yesterday.

Nick Taylor, head of Higgs & Sons’ corporate team and recommended by Chambers as a leader in his field, says that the doubling of entrepreneurs' relief and the confirmation that there will not be an increase in the main rate of capital gains tax (CGT) currently at 18% is excellent news for local business owners. “My advice to local entrepreneurs would be to think quickly and seriously about their exit strategy now because the goalposts could move again in the near future.”

At the moment, the first £1m of lifetime gains for qualifying individuals exiting their businesses is taxed at an effective rate of 10% under entrepreneurs' relief. The threshold will now increase to £2m. Nick says that for people considering selling their business, from a tax point of view, now could be a really good time to do it: “The doubling of the threshold is designed to enable entrepreneurs to benefit more from their effort and investment, with the first £2m return taxed at 10% and subject to CGT at 18% above £2m.”
